INSIGHTS VIII Art Exhibition

OFFICIAL RULES

SELECTION OF ARTWORK FOR THE EXHIBITION:
Subject to the provisions of these Official Rules, on expiration of the Submission Period (as defined below) for the "INSIGHTS VIII Art Exhibition" (the "Exhibition"), a jury committee (the "Jury") appointed by The Ryan Licht Sang Bipolar Foundation (the “Foundation”) will select up to twenty pieces of Artwork (as defined below). Each person who has a piece of Artwork selected will (a) have the selected Artwork displayed by the Foundation as part of the Exhibition, which is scheduled to occur on or around October 2025, and (b) receive a $500.00 unrestricted cash grant from the Foundation (the “Grant”).

SUBMISSION PERIOD:
The Submission Period begins at 12:01 a.m. Pacific Time on September 1, 2024, and ends at midnight Pacific Time on January 30, 2025 (the "Submission Period"). The Foundation reserves the right to change the dates of the Submission Period with or without notice to you for any reason in its sole discretion.

HOW TO ENTER:
During the Submission Period, you may submit up to five (5) original pieces of artwork, subject to a maximum size limit of 6 feet x 6 feet and weight limit of no more than 70 pounds (“Artwork”) by following the instructions posted to the website(s) designated by the Foundation and through which you accessed these Official Rules (the "Exhibition Website"). You must submit picture(s) of your Artwork via the Exhibition Website in .jpeg format and in accordance with any instructions posted on the Exhibition Website. The Foundation will not accept Artwork (or pictures thereof) submitted through the mail or by any delivery service.

Each piece of Artwork must be an original, prepared completely, solely and exclusively by you. Additionally, Artwork that, in whole or in part, violates or infringes on another person's rights, including but not limited to copyright, is not eligible. By way of example, but without limiting the generality of the foregoing sentence, you may not submit as Artwork a company advertisement, or artwork that you found or incorporating any elements that you found online. The Foundation may disqualify you as a result of your submission of Artwork that is not your own original work or that does not otherwise comply with the terms of this paragraph or these Official Rules. The Foundation reserves the right to reject any Artwork that it deems, in its sole discretion, to violate these Official Rules (including, without limitation, this paragraph), in which case the Foundation may reject such Artwork without any notification to you.

For any Artwork in which an individual is recognizable, unless your use is subject to applicable publicity rights exemptions, you must secure a written release from the subject or, in the case of a minor, the subject’s parent or guardian, and provide it to the Foundation upon request. Similarly, if your Artwork depicts other people’s work (such as sculptures, statues, paintings, and other copyrightable works), you must obtain a release from the rights holder and provide it to the Foundation upon request.

You will need Internet access and an email address in order to submit your Artwork. If you need Internet access, you should visit your local library. If you need an email account, free email services are available, such as at gmail.com.

CONDITIONS ON SUBMISSION OF ARTWORK:
No purchase by you is necessary to submit your Artwork for the Exhibition or, if your Artwork is selected, to have your selected Artwork displayed at the Exhibition or to receive a Grant. The ability to submit Artwork for the Exhibition is open only to natural persons who (a) have bipolar disorder and/or self-identify as an individual with bipolar disorder, (b) are legal United States residents (except for residents of any jurisdiction where such submission would be prohibited by law), (c) are 18 years of age or older, and (d) have agreed to these Official Rules. The Foundation reserves the right to verify your eligibility qualifications.

Employees or agents of the Foundation or its or their affiliates, subsidiaries or divisions and their respective affiliates, subsidiaries, divisions, parent organizations, trade partners, advertising agencies, associated marketing firms and other vendors, and the respective immediate families of employees and other persons referenced in this sentence, including, without limitation, household members, are not eligible to submit Artwork or have their Artwork displayed at the Exhibition.

While you may submit up to five pieces of Artwork during the Submission Period, if the Foundation selects a piece of your Artwork for display in the Exhibition in accordance with these Official Rules, you will receive only one Grant. The Foundation will not verify receipt of any submission of Artwork. Any attempted form of submission of Artwork other than as described in these Official Rules, and any incomplete submission, is void. Any use of robotic, mechanical, automatic, programmed or like methods of submission will void each submission made by such methods. Submissions of Artwork that are in violation of these Official Rules will be disqualified. If the Jury or the Foundation suspect or determine actual or attempted (1) fraud, tampering, or impairment or disruption of the administration, security, fairness or proper submission of any Artwork or the Exhibition by you (or any person directly or indirectly associated with you), or (2) violation of these Official Rules by you (or any person directly or indirectly associated with you), then the Foundation reserves the right, in its sole discretion, to void any and all submissions by you, or to suspend or prohibit the participation of any person who the Foundation determines in its sole discretion is responsible or otherwise involved with such acts.

ANY ATTEMPT BY ANY INDIVIDUAL(S) TO DELIBERATELY DAMAGE ANY WEBSITE (INCLUDING, WITHOUT LIMITATION, THE EXHIBITION WEBSITE, THE FOUNDATION’S WEBSITE OR ANY OTHER ASSOCIATED WEBSITE OR SOCIAL MEDIA PAGE) OR DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE JURY, THE EXHIBITION, THE EXHIBITION WEBSITE OR ALL OR A PART OF THE FOUNDATION GENERALLY IS A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD YOU MAKE OR ATTEMPT TO MAKE ANY SUCH ACTION, THE FOUNDATION RESERVES THE RIGHT TO COOPERATE IN YOUR (AND OTHER PERSONS’) PROSECUTION OR TO SEEK DAMAGES FROM YOU OR SUCH OTHER PERSONS TO THE FULLEST EXTENT OF THE LAW.

CONSENT TO PUBLICITY AND USE:
Except where prohibited by law, by acceptance of a Grant, you grant Publicity Rights (as defined below) to the Foundation and its subsidiaries, affiliates and assigns. As used in the immediately foregoing sentence, "Publicity Rights" means the absolute and worldwide right, license and permission and consent to use, for the Exhibition or other publicity purposes and in any manner or media whatsoever (including, without limitation, on the Exhibition Website, on the Foundation’s website, or on any other webpage or social media platform owned, operated or maintained by the Foundation or any of its subsidiaries or affiliates), your name, voice, photograph, biographical information (including, without limitation, hometown, state and the fact that you have bipolar disorder), email address or likeness.

FOR THE AVOIDANCE OF DOUBT, BUT NOT BY WAY OF LIMITATION, YOU ACKNOWLEDGE AND AGREE THAT THE FOUNDATION’S USE OR DISCLOSURE OF THE FACT THAT YOU HAVE BIPOLAR DISORDER OR SELF-IDENTIFY AS AN INDIVIDUAL WITH BIPOLAR DISORDER (TOGETHER WITH YOUR NAME OR OTHER INFORMATION THAT IDENTIFIES YOU) IS AUTHORIZED BY THE PRECEDING PARAGRAPH, AND THAT ANY SUCH USE OR DISCLOSURE WILL NOT CONSTITUTE DEFAMATION OR DISPARAGEMENT OF YOU.

If your Artwork is selected, you may publicize this fact only after and if (1) you provide an appropriately completed Artist's Affidavit (as defined below) and comply with any and all other requirements mandated by the Foundation, (2) the Foundation receives the original of the selected Artwork, and (3) the Foundation has not otherwise declared you ineligible under these Official Rules. Notwithstanding your right to publicize the Foundation’s selection of your Artwork, you may not at any time make, publish, or communicate to any person or entity or in any public forum any defamatory or disparaging remarks, comments, or statements concerning the Foundation or its operation, or any of its employees, officers and other associated third parties.

THE FOUNDATION’S RIGHT TO SELECTED ARTWORK:
if your Artwork is selected and you accept such selection pursuant to these Official Rules, then you irrevocably convey, transfer, assign and donate to the Foundation any and all right, title and interest to the selected Artwork including, without limitation, any right to publish such Artwork.

For the avoidance of doubt, you understand that, once you accept the Foundation’s selection pursuant to these Official Rules, (1) you will have no further rights in, to or under the selected Artwork, including with respect to any sale (by the Foundation or otherwise) of such Artwork to a third party or the proceeds thereof, and (2) the Foundation will have the sole, exclusive and unrestricted right to publish, commercialize, exploit, market, reproduce, display, distribute, create derivative works from, sell, transfer, or otherwise use the selected Artwork, in whole or in part, throughout the world, in any manner and by means of any media whatsoever,

You acknowledge and agree that, by accepting the Foundation’s selection of your Artwork pursuant to these Official Rules, you received adequate consideration for conveyance and donation of your Artwork to the Foundation, most notably the Grant and the potential publicity and promotional value to you from the Foundation’s possible display, publication, or other use and dissemination of the Artwork.

Other than display of your selected Artwork at the Exhibition, you acknowledge and agree that nothing in these Official Rules will obligate the Foundation to display, publish or otherwise transmit, disseminate, promote or use such Artwork for any purpose and that the Foundation makes no claim (whether as a result of selecting your Artwork or otherwise) that your Artwork is appropriate for any audience or purpose. Furthermore, you understand that use, nonuse, exploitation or disposition of your selected Artwork by the Foundation is at the Foundation’s sole and absolute discretion, and may subject you to notoriety or publicity, among other things.

SELECTION OF ARTWORK:
Subject to these Official Rules, the Jury will evaluate Artworks submitted during the Submission Period and approved by the Foundation, in its sole discretion. The Jury will select up to twenty (20) pieces of Artwork in its sole discretion. Please do not contact us about the status of entries or judging. The Jury’s and the Foundation's decisions with respect to each selection and other matters pertaining to the Exhibition and these Official Rules will be final, and as a result, not subject to any appeal or other review process by you or any other third party. For the avoidance of doubt, neither you nor any other third party will have any right to inspect, review or receive any information relating to the Jury, including, without limitation, its members, its Artwork selection process, or any other actions or inactions taken by the Jury in connection with or relating to these Official Terms.

The Foundation will send notifications of selected Artwork on or around June 1, 2025 via email. If your Artwork is selected, you must accept this selection in the manner set forth in the Foundation’s email notification (which will include, at a minimum, your (i) execution of an Artist’s Affidavit within ten (10) business days of the date of the Foundation's email notification, and (ii) delivery of the original Artwork to the Foundation within the timeframe and in accordance with the instructions set forth in the Foundation’s email notification. For the avoidance of doubt, if your Artwork is selected, you must continue to comply with these Official Rules. In addition, to be eligible for selection, artwork selected by the Jury must not have been previously sold or lost. If a selected piece of artwork has previously been sold or lost prior to, or at the time of, Jury selection, your entry will be disqualified and the Jury may select an alternate piece of Artwork for display at the Exhibition in its sole discretion.

If you fail to timely accept the Foundation’s selection of your Artwork, or if thereafter the Foundation finds you ineligible or you fail to comply with these Official Rules, then you will be disqualified and the Jury may select other Artwork for display at the Exhibition in its sole discretion.

REQUIREMENTS OF ARTISTS:
Among other requirements that may be set forth in the Foundation’s email notification to you, if the Foundation selects a piece of your Artwork pursuant to these Official Rules, in order to accept this selection, you will be required to: (i) sign an Affidavit of Eligibility and Release of Liability for Participation, Publicity and Use (an "Artist’s Affidavit") so that the Foundation may determine your eligibility to have your selected Artwork displayed at the Exhibition and to receive the Grant (prior to, and as a condition of, such display and receipt); and (ii) deliver the original of the selected Artwork to the Foundation within the timeframe and in accordance with the instructions set forth in the Foundation’s notification email. The Foundation will be responsible for the shipping costs associated with the delivery of the selected Artwork pursuant to item (ii) of the preceding sentence by shipping method determined by the Foundation, in its sole discretion.

If the Foundation selects a piece of your Artwork and you do not timely and otherwise appropriately provide an Artist's Affidavit, deliver the Artwork and comply with any and all other requirements mandated by the Foundation, in its sole discretion, or, if after the Foundation's receipt of your Artist’s Affidavit, the selected Artwork and all relevant documents and other requirements from you, the Foundation finds you ineligible, then your entry will be disqualified and the Jury may select an alternate piece of Artwork for display at the Exhibition in its sole discretion.

DISPUTES:
You and the Foundation agree that any and all disputes, claims causes of action, or controversies of any kind arising out of directly, indirectly, or otherwise in connection with, out of, related to or from these Official Rules (including, without limitation, Artwork or the Exhibition) (each, a “Dispute”), including the extent to which any Dispute is subject to arbitration pursuant to these Official Rules, will be resolved exclusively in accordance with the procedures set forth below. For the avoidance of doubt, neither you nor the Foundation may initiate any court proceedings concerning any Dispute, and any court shall if necessary enforce this and the following paragraphs by dismissing any such proceeding.

In the event of a Dispute, you and the Foundation (and/or your and their attorneys) will attempt in good faith to resolve such Dispute (including at least one in-person meeting) by the procedures set forth in this paragraph and will not submit such Dispute to arbitration (except as set forth below), litigation or any other dispute resolution procedure. If you and the Foundation (and/or your and their attorneys) cannot resolve the Dispute within 20 calendar days, then the Dispute will be submitted to nonbinding mediation within 10 calendar days of written request by you or the Foundation. The mediation will take place in English, and the parties may participate by means of video conference, teleconference or other similar communications equipment by means of which all persons participating can hear each other. The mediation will be conducted before a single mediator to be agreed upon by you and the Foundation. If the parties cannot agree on the mediator, each of you and the Foundation will select a mediator and such mediators will together unanimously select a neutral mediator who will conduct the mediation. Each of you and the Foundation will bear the fees and expenses of its own mediator and will equally bear the fees and expenses of the final mediator. If within 30 calendar days of mediation, the parties have not succeeded in negotiating a resolution of the Dispute, then any party may pursue such Dispute pursuant to and in accordance with the arbitration procedures set forth below.

Subject to the pre-arbitration mediation dispute resolution procedures set forth above, any Dispute will be submitted exclusively to the American Arbitration Association (“AAA”) and will be finally settled under the AAA’s Commercial Arbitration Rules (“AAA Rules”) by one or more arbitrators appointed in accordance with the said rules, provided, however, that if the amount in dispute (excluding interest, fees and costs) does not exceed $1,000,000 (One Million Dollars), it will be resolved by a sole arbitrator appointed in accordance with AAA Rules, and if the amount in dispute exceeds $1,000,000 (One Million Dollars), unless otherwise agreed to by the parties, it will be resolved by three (3) arbitrators appointed in accordance with AAA Rules.

The arbitration will be conducted exclusively by telephone, on-line and/or based solely upon written submissions where no in-person appearance is required, and the parties may participate by means of video conference, teleconference or other similar communications equipment by means of which all persons participating can hear each other. If in-person appearance is required, required hearings will take place in Palm Beach County, Florida. All awards may if necessary be enforced by any court having jurisdiction. Arbitration costs will be shared equally by the parties, provided, however, each party will be responsible for its own expenses (including legal fees) and costs related to the presentation and defense of its position in the arbitration proceeding and any costs related to the enforcement of any arbitral decision. The results of arbitration pursuant to these Official Rules will be final and binding on the parties.

The parties will keep the existence of any Dispute, the existence or details of any mediation or arbitration proceeding, and all related documents, negotiations, materials, evidence, judgments and awards, strictly confidential. Without limiting the generality of the foregoing, except as required by applicable law, no party will make any public announcements with respect to any mediation or arbitration proceeding or the award or resolution, except as required to enforce same.

Any Dispute will be resolved individually by you and the Foundation, without resort to any form of class action.

Under no circumstances will you be permitted to obtain awards for, and, by submitting your Artwork, you waive all rights to claim, punitive, indirect, special, incidental and consequential damages (including, without limitation, loss of revenue or diminution of value) and any and all rights to have damages multiplied or otherwise increased.

All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of you and the Foundation in connection with these Official Rules, will be governed by, and construed in accordance with, the laws of the State of Florida, without giving effect to any choice of law or conflict of law rules (whether of the State of Florida or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Florida. All Florida state and local laws and regulations apply.

INDEMNIFICATION AND RELEASE:
By submitting Artwork, you agree to defend, indemnify and hold the Foundation, the Jury (including, without limitation, each of its members), Facebook, LinkedIn, Twitter, Google, YouTube, Vimeo and their respective subsidiaries, affiliates and divisions and their respective representatives, attorneys, assigns, agents and licensees and their respective affiliates, equity holders, officers, directors, managers, agents, co-branders, associated marketing firms, advertisers and sponsors or other partners and any of their employees (each, including, without limitation, the Foundation, Facebook, LinkedIn, Google, YouTube and Vimeo, a "Released and Indemnified Party," and collectively, including, without limitation, the Foundation, Facebook, LinkedIn, Twitter, Google, YouTube and Vimeo, the "Released and Indemnified Parties"), harmless from and against any and all rights, demands, losses, injuries, liabilities, damages, claims, causes of action, actions and suits of any kind whatsoever (whether at law or in equity), fees, costs and attorneys' fees (including appellate level) whatsoever (collectively, "Claims"), brought or asserted by any party against any of the Released and Indemnified Parties arising out of or in connection, directly or indirectly, with Artwork submitted by you, the Foundation’s display of your Artwork at the Exhibition, your participation in the Exhibition, or your use of any Grant.
